PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE BIZRAA PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE.
1. Definitions and Interpretation
In these Terms, the following definitions apply:
- "Bizraa", "We", "Us": means Bizraa Technologies Limited, a company registered under the laws of the Federal Republic of Nigeria.
- "Service": refers to the Bizraa mobile application, desktop software, website, APIs, and related services managed by us.
- "User", "You": means any individual or corporate entity accessing the Service.
- "Content": means text, images, photos, audio, video, location data, and all other forms of data or communication.
2. Agreement and Eligibility
2.1. Binding Agreement
These Terms constitute a legally binding agreement between you and Bizraa. Accessing the Service signifies your acceptance of these Terms, our Privacy Policy, and any other guidelines posted on the Service.
2.2. Eligibility Criteria
To use our Services, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into binding contracts.
- If you are registering on behalf of a business entity, you have the authority to bind that entity to these Terms.
- You are not barred from receiving services under the laws of Nigeria or other applicable jurisdiction.
3. Account Registration and Security
3.1. Account Creation
Access to certain features requires registering for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. Account Security
You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. Bizraa will not be liable for any loss or damage arising from your failure to comply with this requirement.
3.3. Identity Verification (KYC)
To comply with Nigerian financial regulations, we may require you to provide additional information or documentation (e.g., CAC documents, BVN, NIN) to verify your identity or business status ("Know Your Customer"). Failure to provide such information may result in restriction or termination of your account.
4. Subscription Services and Payments
4.1. Fees
Services may be offered on a subscription basis. You agree to pay all fees associated with your chosen subscription plan. All fees are in Nigerian Naira (NGN) unless otherwise stated and are non-refundable except as required by law.
4.2. Automatic Renewal
Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew, and you authorize us to collect the then-applicable annual or monthly subscription fee.
4.3. Taxes
You are responsible for all taxes, duties, levies, and VAT imposed by tax authorities in Nigeria or elsewhere arising from your use of the Service.
5. Intellectual Property Rights
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Bizraa and its licensors. The Service is protected by copyright, trademark, and other laws of the Federal Republic of Nigeria. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bizraa.
6. Prohibited Activities
You agree NOT to engage in any of the following prohibited activities:
- Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
- Violating or encouraging others to violate any right of a third party, including by infringing or misappropriating any third-party intellectual property right.
- Interfering with security-related features of the Service.
- Reverse engineering, decompiling, or otherwise attempting to extract the source code of the software.
7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIZRAA, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
- ANY CONTENT OBTAINED FROM THE SERVICE; AND
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
8. Indemnification
You agree to defend, indemnify, and hold harmless Bizraa and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
9. Governing Law and Dispute Resolution
9.1. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
9.2. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall initially be referred to mediation. If mediation fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act (Cap A18 LFN 2004). The seat of arbitration shall be Lagos, Nigeria.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
