This End User License Agreement ("Agreement" or "EULA") is a legal agreement between You (either an individual or a single entity) and Bizraa Technologies Limited ("Bizraa") for the Bizraa software, including associated media, printed materials, and online or electronic documentation ("Software").
1. Grant of License
Subject to your compliance with the Terms of this Agreement, Bizraa grants you a personal, non-exclusive, non-transferable, limited license to download, install, and use the Software on devices owned or controlled by you, strictly for your internal business purposes.
2. Use Restrictions
You agree not to, and you will not permit others to:
- License or Sell: Sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software.
- Modify: Modify, duplicate, adapt, translate, or create derivative works based on the Software.
- Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Tamper: Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Bizraa.
3. Intellectual Property
The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of Bizraa. This Agreement does not grant you any ownership interest in the Software.
4. Updates and Maintenance
Bizraa may from time to time provide enhancements or improvements to the features/functionality of the Software, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or delete certain features.
5. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Bizraa if you fail to comply with any term(s) of this Agreement.
6. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, BIZRAA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE.
7. Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of Bizraa and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software or 10,000 NGN if you have not purchased the Software.
